Unvell LLC / Legal
Terms of Service
Effective date:
Published by Unvell LLC, a Florida limited liability company.
1. Scope and Acceptance
These Terms of Service (“Service Terms”) are a binding agreement between you and Unvell LLC, a Florida limited liability company doing business as Unvell (“Unvell,” “we,” “us” or “our”). They govern your access to and use of unvellpacks.com, the Unvell mobile application and related account and support services (collectively, the “Platform”).
By selecting an acceptance control that identifies and links these Service Terms, you agree to be bound by them. If you do not agree, do not create an account or use a feature requiring acceptance. Additional consent will be obtained where required by law. You may save or print these Service Terms for your records.
Purchases, physical merchandise, optional item buybacks, proceeds, payouts and fulfillment are governed by our Terms and Conditions (“Transaction Terms”), together with these Service Terms. The Transaction Terms control a conflict concerning a commercial transaction. Order-specific disclosures govern the stated price, item, fees and delivery commitments for that order, subject to applicable law. Our Privacy Policy describes our handling of personal information.
2. Eligibility and Geographic Availability
You must be at least 18 years old and have legal capacity to enter this agreement. You must provide accurate information, act for yourself and satisfy the eligibility, location and verification requirements disclosed for the feature you request.
Commercial features are available only in United States jurisdictions that Unvell expressly enables. Website access, an app download or beta access does not establish eligibility to purchase, ship or receive a payout in every location.
You may not misrepresent your age, identity or location, use another person's account or use location-masking technology to evade an eligibility restriction. We may restrict access where required by law, a payment provider or a reasonably supported security concern. Changes in eligibility do not extinguish valid existing merchandise, refund or payment rights.
3. Accounts and Verification
You may maintain one personal account unless we authorize otherwise in writing. Keep your account, delivery and payout information accurate. Account access is personal and may not be sold, transferred or shared.
Protect your credentials and notify support promptly of suspected unauthorized access or transactions. You are responsible for activity you authorize, subject to applicable protections for unauthorized transactions.
We or our service providers may require identity, age, location, payment-ownership or fraud-prevention checks before permitting purchases, shipping, use of proceeds or payouts. Provide requested information through the designated secure process. Incomplete or unsuccessful verification may delay or restrict the relevant feature, but does not by itself result in forfeiture of legitimate property or funds.
4. Platform License and Intellectual Property
Subject to your compliance with these Service Terms, Unvell grants you a limited, personal, nonexclusive, nontransferable and revocable right to use the Platform for its intended lawful purposes. Except for this limited permission, Unvell and its licensors retain all rights in the Platform, software, original content, branding and designs.
You may not reproduce, distribute, commercially exploit or create derivative works from protected Platform content without authorization, except as permitted by applicable law or an applicable license. Third-party names, artwork and garment brands remain the property of their respective owners. Their appearance does not imply sponsorship, endorsement or affiliation.
A purchase of merchandise does not transfer intellectual-property rights in the Platform or the merchandise's artwork or branding. Open-source components remain subject to their applicable licenses.
An app distributed through Apple's App Store is licensed under Apple's Standard Licensed Application End User License Agreement, unless a custom app license is separately provided. These Service Terms govern Unvell's services and do not impose obligations on Apple beyond applicable Apple terms.
5. Acceptable Use
You agree not to:
- Use stolen or unauthorized payment methods, provide false verification information or use a payout destination you do not own or have authority to use.
- Create duplicate or misleading accounts to evade limits, exploit promotions or conceal prior restrictions.
- Manipulate purchases, inventory selection, offers, account balances or payouts; exploit a known error; or seek duplicate merchandise, refunds or payments.
- Use bots, scraping, automated purchasing or other unauthorized automated access that impairs the Platform or provides an unfair transactional advantage.
- Introduce harmful code, bypass security controls, interfere with service operation or access another person's account or information without authorization.
- Reverse engineer or circumvent Platform protections except to the extent permitted by mandatory law or an applicable license.
- Submit unlawful, infringing, deceptive or abusive material, harass others, or use the Platform for fraud, money laundering or another unlawful purpose.
A good-faith complaint, lawful payment dispute, security report or exercise of consumer rights is not a violation of this section merely because it concerns Unvell.
6. Electronic Communications
We may send receipts, order updates, verification requests, security alerts and other service notices to your designated email address or through the Platform. You are responsible for maintaining accurate contact information and retaining relevant transaction records.
Where permitted by law and with any required consent, notices and records may be provided electronically in a form you can access and retain. Contact support if you require assistance or a legally available alternative.
Marketing communications are separate from necessary service messages. Acceptance of these Service Terms does not enroll you in marketing calls or text messages. Any required marketing consent will be requested separately, and marketing email will include an applicable unsubscribe method.
7. Submissions, Feedback and Infringement Reports
You retain ownership of content you submit. You grant Unvell a nonexclusive, royalty-free license to use, reproduce and display that content as reasonably necessary to provide the requested service, resolve your inquiry or publish a review you choose to make public. Unrelated advertising use of private customer materials requires separate permission.
You represent that you have the rights needed to submit the content and that it does not infringe another person's rights or unlawfully disclose their information. We may remove or restrict unlawful, misleading or abusive public content.
We may use product suggestions and feedback without compensation, subject to applicable confidentiality and personal-information obligations. This does not transfer ownership of unrelated intellectual property.
To report suspected infringement, contact support with identification of the protected work, the material's location, your contact details and the basis for your authority to submit the report.
8. Third-Party Services
The Platform may use external services for authentication, hosting, payments, identity verification, communications, shipping or payouts. Separate provider terms will be identified where your agreement to them is required. Provider privacy practices are described in their applicable notices.
We do not control every third-party service and do not guarantee its uninterrupted availability or independent processing time. Unvell remains responsible for its own contractual obligations. A provider outage or failure does not extinguish a valid refund, merchandise obligation or accepted buyback payable.
Links to third-party websites are provided for convenience and do not constitute endorsement. Review the terms and privacy notices applicable to any external service you choose to use.
9. Purchasing Restrictions
You may contact support to request a pause or closure of purchasing access. We will process a clear request reasonably promptly and confirm its scope and effective time. A request takes effect when confirmed; do not assume a restriction has been applied before confirmation.
An active purchasing restriction applies to new purchases funded by payment methods or eligible proceeds. It does not prevent you from contacting support to resolve existing orders, arrange lawful shipment or request an eligible refund or payout, subject to necessary verification.
A purchasing pause does not forfeit legitimate property or funds. Restoration of access is subject to an eligibility and security review. Specific automated spending controls are available only where expressly offered.
10. Suspension and Termination
We may suspend or restrict access based on a reasonably supported concern involving security, fraud, eligibility, payment validity, legal requirements or a material breach of these terms. Where lawful and practical, we will provide notice, identify the general issue and offer an appropriate review process. We may withhold details where disclosure is prohibited or would compromise a legitimate investigation.
We may terminate access for a material breach, continued ineligibility, unlawful use or discontinuation of a service. You may request account closure through support.
Suspension or closure does not automatically forfeit legitimate merchandise, eligible proceeds or refunds. We will provide an appropriate process to resolve outstanding obligations. Fraudulently created credits or invalid transactions may be corrected following a documented review; unrelated legitimate property is not automatically subject to confiscation.
Provisions that by their nature should survive termination, including accrued payment obligations, intellectual-property rights, liability limitations, dispute provisions and lawful record-retention requirements, survive.
11. Changes, Availability and Test Environments
We may modify, maintain, suspend or discontinue Platform features. We will give reasonable notice of material discontinuation where practical and provide for resolution of existing contractual obligations. Urgent legal or security measures may take effect sooner where necessary.
A clearly identified demonstration, sandbox or test environment may contain simulated funds, inventory or transactions. Simulated amounts have no cash or merchandise redemption value unless a separately identified real transaction expressly provides otherwise.
An interrupted animation, delayed response or technical outage does not create a second purchase, change a confirmed allocation or authorize duplicate charges. Contact support about an unresolved transaction rather than repeatedly submitting it.
12. Disclaimers and Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM'S GENERAL SOFTWARE AND INFORMATIONAL FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” UNVELL DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT WITH RESPECT TO THOSE FEATURES. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE OR COMPLETELY SECURE OPERATION.
The foregoing does not disclaim express merchandise descriptions, lawful title obligations, accepted buyback amounts, valid refunds or warranties that cannot lawfully be excluded. Changes to future inventory and selection probabilities are governed by Section 3 of the Transaction Terms.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING SPECULATIVE LOST PROFITS, LOST OPPORTUNITIES OR LOSS OF DATA. FOR OTHER CLAIMS, UNVELL'S TOTAL LIABILITY ARISING FROM THE PLATFORM OR A TRANSACTION WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNTS YOU PAID UNVELL DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
These exclusions and limits do not reduce valid refunds, accepted buyback payables, eligible proceeds or remedies for unfulfilled merchandise obligations. They do not limit liability for fraud, intentional misconduct, gross negligence, death or personal injury caused by negligence, or any liability or remedy that applicable law does not permit us to limit.
13. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Unvell and its members, managers, employees and agents against reasonable losses, liabilities and defense costs, including reasonable attorney fees, arising from a third-party claim caused by your unlawful use of the Platform, intentional material breach of this agreement or submission of content that infringes that third party's rights.
This obligation does not apply to a claim caused by Unvell's own breach, negligence or misconduct, or to an ordinary good-faith customer dispute. We will provide reasonable notice of the claim, permit reasonable participation in the defense and take reasonable steps to mitigate loss. A settlement that admits your fault, imposes a nonmonetary duty or requires payment you have not authorized requires your consent. No party may recover twice for the same loss.
14. Governing Law and Disputes
Before commencing a proceeding, contact support with the relevant account or order information, a description of the dispute and your requested resolution. The parties will attempt in good faith to resolve the dispute for 30 calendar days after receipt, unless a legal deadline or urgent need requires earlier action.
Florida law governs this agreement to the extent permitted, without depriving you of mandatory consumer protections applicable in your jurisdiction. Subject to those protections, the parties submit to courts with jurisdiction in Pinellas County, Florida.
You retain any applicable right to an eligible small-claims forum, a mandatory local consumer forum, a regulatory complaint or urgent court relief. These Service Terms do not require binding arbitration, waive participation in a class proceeding or shorten a statutory claim period. Attorney fees and costs are recoverable only as authorized by applicable law, court order or a separately enforceable agreement.
15. Amendments
We may amend these Service Terms prospectively. Material changes will be communicated through an appropriate service channel at least 30 calendar days before they take effect, except where an earlier change is necessary for law or an urgent security issue. In those circumstances, notice will be provided as soon as reasonably practical.
We will obtain renewed affirmative assent where required. Existing orders, accepted buybacks and payout requests remain governed by their accepted terms unless you agree to a lawful amendment. Changes will not retroactively reduce an accepted offer, erase eligible proceeds, introduce an undisclosed charge or remove an existing refund right.
Routine changes to future prices, catalog availability and selection settings are governed by the Transaction Terms and do not by themselves amend these Service Terms.
16. General Terms and Contact
These Service Terms, the Transaction Terms and disclosures properly incorporated into a transaction constitute the agreement on their respective subjects. If a provision is unenforceable, it will be limited or severed to the extent necessary, and the remaining provisions will remain effective. Failure or delay in enforcing a provision is not a waiver. A waiver must be specific and in writing.
You may not assign this agreement or your account without our written consent. Unvell may assign its rights and obligations in a genuine reorganization or sale where the successor assumes the applicable obligations and required notice or consent is provided. This does not authorize an unlawful transfer of personal information. No third-party beneficiary is created except as provided by an applicable app license or law.
Send contractual notices and support requests to support@unvellpacks.com. Include sufficient information to identify the account, transaction and requested action. A bounced message is not effective notice. Formal service of legal process must comply with applicable law and Unvell's then-current registered-agent record. Electronic assent and counterparts are effective where permitted by law.
